Kanae Miyahara is a Counsel of Kimura Takushima & Yamaguchi. She provides advice on cross-border transactions and general corporate matters with companies in the information/telecommunication field and other industries. She also provides advice and representation in domestic litigations and other dispute resolution relating to general corporate matters.
Before joining the firm in 2012, she practiced as a lawyer at Nagashima Ohno & Tsunematsu, one of the leading law firms in Japan. She also practices as an in-house counsel at Softbank Mobile Corp.,a major mobile phone company.
Noteworthy Projects/Experience:
Cross-border Commercial Transactions, General Corporate Matters:
Advised a large Japanese conglomerate on the restructuring of its subsidiaries and its joint venture with a foreign company
Prepared license agreements, agency agreements, service agreements, and other various contracts between foreign and Japanese companies
Advised on general corporate matters for a broad range of companies including telecommunication companies, Internet companies, software development/distributing companies, apparel companies, real estate companies, and manufacturing companies
Advised independent administrative agencies and special administrative agencies on the Act on Access to Information held by Administrative Organs
Dispute Resolution:
Represented a major Japanese software distributing company in its litigation with respect to the validity of terminating a distributorship agreement with its distributor
Represented a Japanese telecommunication company in its dispute with respect to the validity of terminating a service agreement with its customers
Represented a Japanese financial institution it its litigation with respect to the validity of a mortgage
Represented a foreign apparel company in its disputes with respect to trademark infringement against Japanese entities
