Kota Yamaguchi is a co-founder of Kimura Takushima & Yamaguchi. Kota has extensive experience in mergers and acquisitions as well as the formation of joint ventures in domestic and cross-border transactions. His specialty is providing advice to start-up and early-stage companies, leveraging upon his experience as a board member of a now publicly held technology company, that has relied on his unfailing, sound legal advice since its start-up. He also advises on shareholders'meetings, real-estate transactions, and provides domestic legal support to foreign companies as well as support in commercial and other contracts. He has also handled U.S. litigation, Hong Kong arbitration proceedings, and other dispute resolution matters.
Before co-founding the firm in 2011, he practiced as a lawyer at Nagashima, Ohno & Tsunematsu, one of the leading law firms in Japan. He also served as a board member at InfoDeliver, a Chinese outsourcing company.

Mergers and Acquisitions, Joint Ventures
Represented a U.S. company in establishing a joint venture corporation with a publicly held Japanese company, involving a spin-off of the production department of the Japanese company
Represented a French software company in acquiring the Japanese subsidiary of a U.S. software company by way of a company split
Represented a publicly held Japanese company in its investment in a resource development project in Africa led by a European company
Advised a Japanese automotive manufacturer in its restructuring of its manufacturing and sales joint venture companies in Asia
Cross-border Transactions:
Represented a foreign investment company in acquiring healthcare assets from a public Japanese company
Represented a publicly held Japanese company in acquiring a large-scale facility from a U.S. venture company
General Corporate Matters:
Provided advice to companies in the following industries: airline, biotech, pharmaceutical, retail, Internet, gaming, with founding their general corporate matters
Property Transactions:
Represented a publicly held investment company and an asset management company in their merger with another publicly held investment company and asset management company
Advised private investment funds and investment companies in their property acquisition and financing
Property Litigation:
Represented a public Japanese company in its action against an Indian commercial bank and a manufacturer of communication equipment in connection with a letter of credit transaction
Represented a large Japanese video game console manufacturer in a product liability class action suit in liaison with a U.S. law firm
